Notice for proposed amendment to AVANA’s bylaws

I would like to propose an amendment to our bylaws.  Because some years we have fewer volunteers interested in serving on our board than the bylaws stipulate, I recommend that we amend the bylaws to allow our continued operation and existence as long as we have the main five officers’ positions filled. 

 

The current bylaws state:

 

Article III: BOARD OF DIRECTORS

 

Section 1. Number

 

The Association shall be managed by a Board of Directors consisting of five officers and

six members-at-large.

 

The proposed change follows (changes are underscored):

The Association shall be managed by a Board of Directors consisting of five officers and

up to six members-at-large.

 

The reason for this proposed change is so that AVANA can continue without interruption in years when there are fewer people interested in serving.  We are a volunteer organization, and we could simply post periodic notices to the neighborhood alerting people that there are openings if anyone wants to serve.  There is already a process in place to fill empty spots on the board if that situation arises.
